Preamble

These Terms of Use are entered into between EAPLO.COM (“we,” “us”) and you.

We, along with other business entities controlled by, controlling, or under common control with us (our “Company”), offer a variety of services such as Social, Travel, Activity. We provide our products and service, through desktop, web, and mobile platforms (the “Services”).

Our Services are accessible to every adult above 18 years of age, provided they meet the eligibility criteria outlined below. If you are under 18, you are not authorized to access the Services and must immediately discontinue using them.

Acceptance of Terms of Use

By creating an account on our Services, you agree to be bound by our (i) Terms of Use, (ii) Safety Tips, and (iii) Community Guidelines. You must also acknowledge that you have read and understood our (iv) Privacy Policy (v) Cookie Policy and (vi) Picture Policy. Additionally, any additional or special terms we may notify you of when using or purchasing specific Services are incorporated into these Terms of Use. If you do not agree to be bound by our Terms of Use, you must cease using our Services.

Services Eligibility

 You can only use our Services under the following conditions. You represent and warrant at all times that:

  1. You are over 18 and can enter into a legally binding contract with us.
  2. You meet the registration conditions specified in the Services.
  3. You will adhere to these Terms of Use, including our Safety Tips and Community Guidelines, as well as all applicable laws and regulations.
  4. You will provide accurate and truthful information that is not misleading, particularly when completing your profile and in your interactions with other users and with us.
  5. You acknowledge and agree that the Services are intended to facilitate personal, non-commercial, and non-financial connections between individuals, primarily for forming committed friendships and partnerships. You must consistently respect the intended purpose of the Services.
  6. You are not currently registered on a Sex Offender Register.
  7. You have never been convicted of unlawful acts involving fraud, sexual offenses, violence (including domestic violence), harassment, terrorism, or hate crimes. We reserve the right to decline, suspend, or terminate your access or membership at any time if you do not meet any of these conditions.

Registration

Registration membership to our services is payable, which includes the charges for a mandatory ID check powered by Stripe for all our members. The membership fee is a non – refundable on off payment. You will enjoy a lifelong membership, provided that you adhere to the rules and community guidelines, or until you decide to gracefully depart from our platform. You must not create more than one account.

You are required to provide the necessary information to complete your profile on the Services and keep this information up to date. You acknowledge and agree that some of this information will be made visible to other users of the Services.

Furthermore, your profile will be viewable to users if a match occurs.

The information provided by users on the Services, during registration, and thereafter must be accurate and truthful. Any consequences resulting from the disclosure of this information, including data, text, content, and images about you, are the sole responsibility of the user. When you disclose and disseminate information, data, text, content, and images about you, you waive your right to make any claims against us, especially regarding potential infringement of your image or personality rights, honour, reputation, or right to privacy arising from the distribution or dissemination of such information.

You are responsible for maintaining the confidentiality of the login credentials you use to sign up for our Services, and you are solely responsible for all activities under those credentials. If you suspect unauthorized access to your account, please contact us immediately.

Rules of Conduct

The quality of interactions expected by both us and other users of the Services implies observing a certain level of ethical conduct in your expression and behavior, respecting users and our Customer Care representatives, as well as the applicable laws and regulations. To meet this standard for quality, individual responsibility, and ethics, we allow any user to report any content (photos, text, etc.), behavior, or comments made by a user that appears to be in violation of our Terms of Use, Safety Tips, Community Guidelines, third-party rights, and the applicable laws and regulations. By using the Services, you acknowledge and accept that the data you provide, as well as your behavior or comments, may be subject to moderation and/or control by us in accordance with our moderation policies.

As a user, you must adhere to the following rules of conduct at all times and agree that you will not:

  1. Violate our Community Guidelines, as updated from time to time.
  2. Share personal contact details or disseminate another person’s personal information (e.g., email address, postal address, telephone number, etc.) in any manner (e.g., in a profile description, in a photo, etc.).
  3. Post content that violates or infringes anyone’s rights, including rights of publicity, privacy, copyright, trademark, or other intellectual property or contract rights.
  4. Impersonate any person or entity.
  5. Solicit passwords for any purpose or solicit personal identifying information for commercial or unlawful purposes from other users.
  6. Spam, solicit money from, or defraud any user.
  7. Mass send messages.
  8. Post content that constitutes hate speech, threats, sexually explicit or pornographic material, incites violence, or contains nudity or graphic or gratuitous violence.
  9. Post content that promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual.
  10. Insult, bully, stalk, intimidate, assault, harass, mistreat, or defame any person.
  11. Use the Services for any harmful or nefarious purpose.
  12. Use the Services in order to damage us or our Company.
  13. Use the Services for any purpose that is illegal or prohibited by these Terms of Use.
  14. Use the Services to promote or facilitate transactional personal relationships, services of a sexual nature, and non-consensual sexual acts.
  15. Use any robot, bot, spider, crawler, scraper, site search/retrieval application, proxy, or other manual or automatic device or method to access, retrieve, index, “data mine,” or otherwise reproduce or circumvent the navigational structure or presentation of the Services or its content.
  16. Use another user’s account, share an account with another user, or maintain more than one account.
  17. Create another account if we or our Company have already terminated your account, unless you have our permission. Your violation of any of these rules of conduct constitutes a serious material breach of your contractual obligations under these Terms of Use.

We reserve the right to suspend or terminate your account without notice and without any refund if you have violated these obligations, misused the Services, or behaved in a way that we consider inappropriate or unlawful, including reference to any action or communication that occurred on or off the Services.

This account closure will take effect without prejudice to any damages and interest that may be claimed by us from you as restitution for the losses incurred by us due to any breach of these Terms of Use.

Paid-for services

We operate a global business and provide Services to a diverse community of users. Our pricing structure may vary by country, distribution channel, special offers, and promotions. We regularly test new features to provide users with increased functionality and free or paid-for options should they choose to use them. We may also from time to time change or stop offering certain types of Purchases.

Recurring subscriptions and/or one-off purchases (“Purchases”) allow access to additional features and functionalities. The details of such paid-for services (“Paid Service(s)”) are available for you to consult on our Services, prior to concluding a Purchase.

Events and Activities.

When events or activities are offered, specific terms and conditions are applicable and available from the pages describing the events or activities.

Profile suspension

If you no longer wish to be matched with other users, you can at any time request the suspension of your profile. This suspension is temporary, does not interrupt any Subscription you may have (including renewals), and does not extend the duration of such Subscription. You may reactivate your profile at any time.

Termination of account and profile closure

You may at any time close your account on the Services by following the instructions available in your account section. You will no longer be able to use your account, including any Purchase, from the next business day following a closure request.

Intellectual Property

Content we disseminate on the Services

All Services’ names, trademarks, logos, graphics, photographs, animations, videos, texts, and generally all content displayed on the Services are our exclusive property or licensed or controlled by us and may not be reproduced, used, or communicated without our express authorization, subject to legal action.

The rights of use granted to you are limited to your private and personal use as part of, and for as long as, you have an account with us. Any other use by you is prohibited. Likewise, you may not copy, reproduce, or otherwise make use of the content produced by other users, other than strictly for personal and private purposes.

You are prohibited, among other actions, from copying, reproducing, downloading, broadcasting, transmitting, modifying, commercially exploiting, and/or distributing any of the Services’ content, pages, or computer codes, in any way whatsoever, subject to legal action.

Content disseminated by users

By having an account and using the Services, and for as long as you have an account with us, you grant us a worldwide license to use the intellectual property rights arising from the content provided by you (information, images, descriptions, search criteria, etc.) in connection with your use of the Services, including your profile and interactions with other users. This license specifically includes the right for us to reproduce, represent, broadcast, modify, adapt (to comply with the graphic charter of the Services and/or to make it compatible with its technical functionalities or the formats supported by the relevant media), translate, digitize, use for the purposes of the Services, and/or sublicense the content provided by you on all or parts of the Services, in our emails and notifications to other users or any other communications related to the Services, subject to applicable law.

  • Warranties, Liability, and Indemnity

Our Responsibilities Regarding Your Use of the Services

We explicitly disclaim all liability in connection with events of any nature that may occur between you and other users during online interactions or in-person interactions.

Furthermore, we do not comprehensively control or moderate the content that users may publish or upload on the Services, as they bear sole responsibility for it. However, user photographs and profile descriptions are subject to moderation before dissemination on the Services.

We are not responsible for the accuracy or inaccuracy of information and content provided by you or other users, nor for the consequences that may arise from your or their use of this information and content. Similarly, we are not liable for any content disseminated by you or another user that might potentially infringe on your rights or the rights of other users or any other third party.

Operation of the Services

Our Services are provided to you “as is.” We do not guarantee that you will be able to use them if your hardware or device malfunctions, if your internet service provider fails to provide adequate service, or if your hardware or device lacks a fully functioning internet connection.

The operation of the Services may be temporarily interrupted for maintenance, updates, security measures, technical improvements, or content and presentation updates. Whenever possible, we will notify you in advance of scheduled maintenance or updates that may affect your use of the Services. Some functionalities may also be permanently disabled if necessary for security or other urgent reasons.

Third-Party Platforms

We do not exercise control over Third-Party Platforms to which you may be redirected from our Services from time to time. We disclaim all liability for the content of Third-Party Platforms, as well as any advertisements, products, features, services, or other elements available on or resulting from your use of such Third-Party Platforms. The use of Third-Party Platforms is governed by their own terms and conditions.

  • Safety

 By using the Services, you agree to take reasonable precautions when interacting with other users, especially if you choose to communicate off the Services or meet in person. Additionally, you agree to review our Safety Tips before beginning to use the Services and to adhere to them at all times when using our Services and interacting with other users. If you post and/or disclose confidential or sensitive information to other users, such as personal information (surname, postal address, email, telephone number) or financial information (e.g., credit card or bank account information), you do so entirely at your own risk.

  • General Liability

 Subject to applicable law, we are only responsible for direct damage caused by us if we fail to provide the Services in compliance with these Terms of Use and applicable laws and regulations. We may not be held liable for any damages incurred by a user if they are solely caused by the user or if we are not in breach of these Terms of Use and/or our statutory obligations. We do not exclude or limit our liability to users in any way if doing so would be unlawful.

We are not liable for business losses. We supply the Services only for domestic and private use, and commercial use of our Services is strictly prohibited, as outlined above. If you use the Services for any commercial or business purpose in violation of these Terms of Use, you are fully liable to us.

In the event that we or the Company are held liable due to your breach of any legal or contractual obligations under these Terms of Use, you will indemnify and hold us and/or the Company harmless against any damages, expenses, or orders issued against us as a result of such breach.

  • Personal Data

 Your personal data is processed in accordance with our Privacy Policy.

  • Changes to the Terms of Use and the Services

 We may update and modify the content and features of the Services and these Terms of Use at any time. This means that we may introduce new product features or enhancements from time to time, as well as remove or change certain features.

You should regularly check for the most recent version of the Terms of Use. If the changes involve significant alterations to your rights or obligations, we will make reasonable efforts to notify you in advance of the changes to our Terms of Use. However, if such changes materially affect a product or service that you have paid for on the Services, we will strive to continue delivering that service to you under the same (prior) Terms of Use until the end of the current term of the Purchase. If you choose to continue using that Purchase in any subsequent renewal period or make a new Purchase, the revised Terms of Use will apply from that point forward, and you will be considered to have accepted the revised Terms of Use.

  • Notifications and Service Messages

When you use the Services, you consent to our provision of important notices related to your account or the Services. These notices may be shared directly through the Services, via notifications, or through other methods associated with your account, such as email. We encourage you to review your settings to manage the types of messages you receive from us. It is important to note that any failure on your part to maintain accurate contact or other information, including but not limited to your failure to receive crucial information and notifications, does not incur liability on our part.

  • Enforceability

In the event that one or more provisions in these Terms of Use are deemed unenforceable under applicable laws or regulations or as a result of a final decision by a competent court or authority, the remaining provisions will remain in full force and effect, to the extent permitted by law, regulation, or applicable court decisions.

  • Assignment

All of our rights and obligations under these Terms of Use can be freely assigned by us in the context of a merger, acquisition, business sale, asset transfer, or by operation of law or any other means. However, we will make every effort to ensure that your rights and obligations remain unaffected by such actions.

  • Applicable Law – Disputes

 These Terms of Use are governed, interpreted, and enforced in accordance with the laws of England, subject to mandatory consumer laws applicable in your country of residence.

In line with the rules governing mediation, before initiating any mediation request, you must first present any dispute to us in writing with the aim of attempting an amicable resolution.

If an amicable solution cannot be reached concerning a dispute related to the Terms of Use, the competent authorities will be the courts located in your country of residence within one of the member States of the European Economic Area, the United Kingdom, or Switzerland.
